    These Terms & Conditions (“Terms”) are a legal agreement between you and Shad Corporation Inc. (“Shad Corporation Inc.”, “we”, “us”, “our”), the company that operates NovusAI, and govern your access to and use of novusai.org and the NovusAI service (the “Service”). By creating an account or using the Service, you agree to these Terms.

    The Service

    NovusAI is an AI agent for ServiceNow. With your authorization, it connects to the ServiceNow instance(s) you designate and helps your team analyze, build, and manage work on them — reading by default and making changes only with your approval. Enterprise deployments can run within your own network and on your own AI model. NovusAI is a tool that assists your team; you remain responsible for your ServiceNow environment and for any changes you approve.

    Accounts

    You must provide accurate information, keep your credentials secure, and be responsible for activity on your account. You must be legally able to enter into these Terms.

    Your ServiceNow instance & the agent

    • You authorize us to connect to the ServiceNow instance(s) you designate using the credentials or OAuth access you provide, and to take actions on your behalf as you direct.
    • The agent reads by default; with approvals enabled it pauses for your confirmation before it changes anything. You are responsible for configuring these controls and for reviewing and approving every change — changes the agent makes at your direction are your changes.
    • You represent that you have the authority to connect each instance and to grant this access, and that doing so complies with your agreements (including with ServiceNow) and your internal policies.
    • You are responsible for your ServiceNow subscription, your data and its backups, and for using appropriate safeguards — including not connecting production environments without suitable review, change-management, and testing.

    AI-generated output

    The Service uses artificial-intelligence models and can produce results that are incorrect, incomplete, or unexpected. You are responsible for reviewing the agent’s plans, outputs, and proposed changes, and for verifying them before you rely on or approve them. The Service is not a substitute for professional judgment, and we do not guarantee any particular result.

    ServiceNow agent subscriptions & token packs

    • Agent plans are billed in advance for the period you select. Token packs are a one-off purchase of prepaid usage, delivered to your account immediately on payment.
    • Token packs and agent subscription charges are non-refundable. By purchasing, you ask us to make the tokens available to you straight away and you accept that this means you lose any right to cancel or withdraw once delivery has begun.
    • You can cancel a subscription at any time from your account settings. Cancellation stops future renewals; it does not refund the current period, and you keep access until the period ends.
    • Prepaid tokens are used only after your monthly allowance is exhausted, do not roll into a cash balance, cannot be transferred between accounts, and expire 12 months after purchase.
    • Nothing here removes rights you have under the mandatory consumer law of your country, or relief we are required to give for a payment we did not authorise or a charge made in error.

    Acceptable use

    You agree not to misuse the Service, including by violating laws, infringing others’ rights, connecting instances or data you are not authorized to access, attempting to disrupt or reverse-engineer the Service, or using it to build or operate a competing service.

    Notifications

    By using the Service you may receive transactional notifications by email and in-app.

    Intellectual property

    We and our licensors own the Service, its software, and its content, other than your data and your ServiceNow environment, which remain yours. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You grant us a limited license to process your instructions and instance data solely to provide and support the Service.

    Third-party services

    The Service works with third parties — including ServiceNow, AI model providers, payment processing, and cloud hosting. Your use of ServiceNow is governed by your own agreement with ServiceNow. We are not responsible for third-party services, and their terms and privacy practices apply to your use of them.

    Disclaimers & liability

    The Service is provided “as is” and “as available” without warranties of any kind. To the maximum extent permitted by law, Shad Corporation Inc. is not liable for indirect, incidental, or consequential damages, or for loss of data, profits, or business; and our total liability for any claim relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the claim.

    Termination

    You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Service or its users. On termination your right to use the Service ends; provisions that by their nature should survive will survive.

    Governing law

    These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute that is not otherwise resolved.
